Vote as soon as possible
At a meeting for the Schwab Mutual Funds and ETFs (Schwab Funds) on June 1, 2022, shareholders will elect trustees to oversee the Schwab Funds. Each shareholder is encouraged to exercise their ownership rights by voting on the election of ten nominees to serve as trustees. The board of trustees is also seeking to fill two board vacancies and recommends a vote for the two new and eight existing nominees.
Shareholders began receiving notifications via email and/or U.S. mail on or around March 29, 2022 with voting instructions.
Voter Solicitation efforts including outbound calls, voicemails from the President of the Schwab Funds, text messages and reminder letters. These outreach efforts will continue until Quorum is met.
To make the process easy and convenient, there are a variety of ways to submit votes including online through a proxy website, by phone, by mail, or at the meeting on June 1, 2022.
We encourage all Schwab Funds shareholders to vote as soon as possible, after receiving the notification, either online or by phone. Prompt voting will reduce the expense for the funds and shareholders by reducing the need for follow-up notifications.

What are shareholders voting on?
The Boards of Trustees (the “Board”) are asking shareholders to vote on the election of 10 members to the Boards of Trustees for The Charles Schwab Family of Funds, Schwab Investments, Schwab Capital Trust and Schwab Strategic Trust (the “Trusts,” and together with Laudus Trust and Schwab Annuity Portfolios, the “Schwab Funds and ETFs”).
Why am I being asked to elect trustees?
The Board is seeking to fill two vacancies. Because the Board may not appoint the two additional proposed trustees, the Board has determined it is appropriate to hold an election at this time. Separately, the Boards of Trustees of the Schwab Funds and ETFs, are proposing to elect the existing trustees. By having this election, the firm will be able to continue consolidated board oversight of all Schwab Funds and ETFs and manage them more efficiently.
What vote is required to approve the proposal? Shareholders will vote together for the election of the trustees. To be elected as a trustee, each nominee must receive the affirmative vote of the holders of a plurality of shares cast. Therefore, the firm needs as many shareholders as possible to vote.
How do I vote?
There are several ways shareholders can vote, including online, by mail, or by phone:
- Online at www.proxyvote.com.
- If you have a Schwab account, login to schwab.com and navigate to the Proxy Events page.
- Call the toll-free number on the proxy card and follow the prompts.
- Sign and return the proxy card received via U.S. mail.
Does my vote make a difference?
Yes. Regardless of the number of shares owned, each shareholder helps the funds receive enough votes to act on the proposal by casting their vote as soon as possible. Voting early also helps the funds and shareholders by avoiding the expense of additional notification mailings and phone calls.
